Terms of Service

1. Acceptance of Terms

Welcome to Brandontra. These Terms of Service ("Terms") govern your access to and use of our advisory and content creation services. By engaging with Brandontra, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Brandontra provides marketing strategy support, promotional content creation, social media content development, and marketing materials preparation. Our services are strictly advisory and content-focused in nature. We do not manage advertising budgets, execute paid media campaigns, or engage in regulated marketing activities.

2. Service Description

Brandontra offers the following professional services:

2.1 Marketing Strategy Support

  • Development of foundational promotion strategies for products and services
  • Comprehensive target audience analysis and behavioral mapping
  • Strategic brand positioning recommendations and frameworks
  • Competitive landscape assessment and differentiation strategies

2.2 Promotional Content Creation

  • Design and production of graphic banners and visual marketing materials
  • Preparation of professional presentations and comprehensive marketing guides
  • Development of website content, landing page copy, and platform-specific materials
  • Creation of brand-aligned visual assets for digital and print applications

2.3 Social Media Content Support

  • Preparation of publication-ready materials for social media platforms
  • Strategic recommendations for content plan structure and editorial calendars
  • Design of visual elements optimized for digital communications
  • Development of platform-specific content formats and templates

2.4 Marketing Materials Preparation

  • Creation of information sheets, promotional one-pagers, and marketing collateral
  • Design of branded documents including reports, whitepapers, and case studies
  • Adaptation and optimization of content across various digital formats
  • Development of template systems for consistent brand application

3. Client Responsibilities

To ensure successful project outcomes, clients agree to:

  • Provide complete, accurate, and timely information necessary for strategy development and content creation
  • Respond to requests for feedback, approvals, and clarifications within agreed-upon timeframes
  • Grant necessary access to brand assets, guidelines, and relevant documentation
  • Communicate project requirements, objectives, and constraints clearly and comprehensively
  • Designate authorized representatives empowered to make decisions and provide approvals
  • Review deliverables thoroughly and provide consolidated feedback
  • Maintain confidentiality of proprietary methodologies and strategic frameworks shared during collaboration

4. Intellectual Property Rights

4.1 Client-Provided Materials

Clients retain full ownership of all materials, assets, and information provided to Brandontra. By engaging our services, clients grant Brandontra a limited, non-exclusive license to use provided materials solely for the purpose of delivering contracted services.

4.2 Brandontra Deliverables

Upon full payment for services rendered, clients receive ownership rights to final deliverables specifically created for their project. This includes custom graphics, presentations, content documents, and visual assets produced as part of the engagement.

4.3 Brandontra Methodologies and Frameworks

Brandontra retains exclusive ownership of proprietary methodologies, strategic frameworks, analytical tools, templates, and internal processes. These intellectual properties may be utilized across multiple client engagements and remain the exclusive property of Brandontra.

4.4 Third-Party Resources

Certain deliverables may incorporate licensed stock photography, fonts, illustrations, or other third-party resources. Clients are responsible for obtaining appropriate licenses for commercial use of such resources beyond the scope of delivered materials.

5. Payment Terms

5.1 Pricing and Invoicing

Service pricing is established through project proposals or service agreements. Invoices are issued according to agreed-upon payment schedules, typically structured as:

  • 50% deposit upon project commencement
  • 50% upon completion and delivery of final materials

Alternative payment structures may be negotiated for extended engagements or retainer arrangements.

5.2 Payment Methods

Brandontra accepts payment via bank transfer, credit card, and approved digital payment platforms. Payment processing fees, if applicable, are the responsibility of the client unless otherwise specified.

5.3 Late Payment

Payments are due within 14 days of invoice date unless alternative terms are specified in writing. Late payments may incur a service charge of 1.5% per month on outstanding balances. Brandontra reserves the right to suspend service delivery for accounts with overdue balances exceeding 30 days.

5.4 Project Scope Changes

Requests for modifications to project scope, additional deliverables, or expanded services beyond the original agreement will be documented and priced separately. Such changes require written approval before implementation.

6. Project Timelines and Deliverables

6.1 Timeline Estimates

Project timelines are estimated based on scope, complexity, and client responsiveness. While Brandontra endeavors to meet all agreed deadlines, timelines are contingent upon timely client feedback and approval at designated project milestones.

6.2 Delays Beyond Our Control

Brandontra is not liable for delays resulting from client-side bottlenecks, late feedback, changed requirements, or circumstances beyond reasonable control including but not limited to technical failures, natural disasters, or force majeure events.

6.3 Revision Rounds

Standard projects include two rounds of revisions for major deliverables. Additional revision rounds may be accommodated at an agreed hourly rate. Revisions must be requested within 14 days of deliverable presentation.

7. Confidentiality and Non-Disclosure

Brandontra respects client confidentiality and agrees to maintain the confidential nature of proprietary business information, trade secrets, and sensitive data shared during engagements. Confidential information will not be disclosed to third parties without explicit written consent, except where required by law.

Clients similarly agree to maintain confidentiality regarding Brandontra's proprietary methodologies, strategic frameworks, and business processes disclosed during collaboration.

This confidentiality obligation survives termination of the service relationship and remains in effect indefinitely unless information becomes publicly available through no fault of the receiving party.

8. Limitation of Liability

Brandontra's services are advisory and creative in nature. We do not guarantee specific business outcomes, sales results, market performance, or return on investment. Our liability is limited to the total fees paid for services rendered under the specific engagement in question.

Brandontra is not liable for indirect, incidental, consequential, or punitive damages including but not limited to lost profits, lost revenue, lost data, or business interruption arising from use or inability to use our deliverables or services.

Clients acknowledge that marketing success depends on numerous factors beyond Brandontra's control, including market conditions, competitive dynamics, execution quality, and business fundamentals.

9. Termination

9.1 Termination by Client

Clients may terminate services with 14 days written notice. Upon termination, clients are responsible for payment of all services rendered up to the termination date, plus any non-refundable expenses incurred on the client's behalf.

9.2 Termination by Brandontra

Brandontra reserves the right to terminate service relationships in cases of non-payment, violation of these Terms, unethical requests, or circumstances that compromise our professional standards or reputation.

9.3 Effects of Termination

Upon termination, Brandontra will deliver all completed work and work-in-progress in its current state. Clients receive rights only to deliverables for which full payment has been made. Brandontra retains all preparatory materials, research, and strategic frameworks.

10. Warranties and Disclaimers

Brandontra warrants that services will be performed with professional skill and care consistent with industry standards. We warrant that deliverables are original works or properly licensed materials.

However, we make no warranties regarding specific outcomes, results, or performance metrics. Services are provided "as is" without warranties of merchantability, fitness for particular purpose, or non-infringement beyond our direct control.

Clients are responsible for ensuring that content, messaging, and materials comply with applicable laws, regulations, and industry standards in their jurisdiction and industry.

11. Indemnification

Clients agree to indemnify and hold Brandontra harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Client's use of deliverables in a manner inconsistent with agreed scope or recommendations
  • Client-provided materials that infringe third-party intellectual property rights
  • False, misleading, or inaccurate information provided by the client
  • Client's violation of applicable laws or regulations
  • Claims arising from client's business operations, products, or services

12. Dispute Resolution

In the event of disputes arising from these Terms or service delivery, parties agree to first attempt resolution through good-faith negotiation. If negotiation proves unsuccessful within 30 days, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association.

Arbitration will be conducted in Louisville, Kentucky, and judgment on the arbitration award may be entered in any court having jurisdiction. Each party bears its own costs unless the arbitrator determines otherwise.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles. Any legal action related to these Terms must be brought in the state or federal courts located in Jefferson County, Kentucky.

14. Modifications to Terms

Brandontra reserves the right to modify these Terms at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of services following notification of changes constitutes acceptance of modified Terms.

Terms in effect at the time of project commencement govern that specific engagement unless explicitly superseded by written agreement.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with any executed service agreements or project proposals, constitute the entire agreement between Brandontra and the client regarding services. These Terms supersede all prior discussions, negotiations, and agreements whether written or oral.

17. Assignment

Clients may not assign or transfer rights or obligations under these Terms without Brandontra's prior written consent. Brandontra may assign these Terms in connection with a merger, acquisition, or sale of business assets.

18. Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, internet failures, or pandemics. Affected obligations are suspended during the force majeure period.
